Carmell said late Wednesday that it has executed an agreement to sell its unit, Axolotl Biologix, which it acquired for $65 million in August of last year.
Carmell said the sale is back to the initial sellers of Axolotl.
The deal includes about 3.85 million shares of Carmell ordinary stock, 4,243 shares of Carmell preferred stock, and $8 million in notes payable to the initial sellers.
Carmell said it expects a $4 million drop in annualized cash burn, a $15.6 million debt reduction, and a $7 million increase in tangible equity as a result of the Axolotl sale.
Shares of the company jumped 7.6% in recent premarket activity Thursday.
Shares of Freshpet, Inc. gained 15.5% to $106.29 after the company reported better-than-expected fourth-quarter financial results.
Freshpet posted quarterly earnings of 31 cents per share, beating market estimates of 5 cents per share. The company’s quarterly sales came in at $215.42 million versus expectations of $204.36 million.
Freshpet shares gained 15.5% to $106.29 on Monday.

Carmell said Wednesday it has closed its merger with Axolotl Biologix, a developer of products for soft tissue repair, aesthetics, and orthopedic indications.
The company said that, as previously disclosed, the initial merger consideration comprises $8 million in cash and $57 million in Carmell common and preferred shares. Additionally, there are several milestone payments, it said.
Carmell also said it has changed its name from Carmell Therapeutics Corp. to Carmell Corp. and is adopting a new brand logo to "reflect its broader focus on non-therapeutic indications in aesthetics."
Carmell Executive Chairman Rajiv Shukla said that with the closing of the Axolotl deal, Carmell is well placed to meet its "goal of profitably achieving $100 million in FY24 revenue."
US stocks look set to open Friday's trading session higher as investors eye key inflation data coming out today.
According to the Bureau of Economic Analysis' monthly personal consumption expenditures price index, personal income and personal consumption expenditures rose 0.3% and 0.5%, respectively, in June. Forecasters had expected a 0.4% rise for both.
Meanwhile, the Employment Cost Index data showed that compensation costs slowed in Q2, indicating that inflation is cooling. The index rose 1.0% in Q2 from the previous quarter, which is down from 1.2% in Q1 and just below Econoday's consensus forecast of 1.1%.
And the consumer sentiment reading from the University of Michigan, which is slated for release later this morning, is expected to close out July at a reading of 72.6, which is eight points higher than it was in June.
The Dow Jones Industrial Average futures are up 0.45%, S&P 500 futures are moving 0.67% higher, and Nasdaq futures are rising 1.06%.
Oil prices are moving marginally higher, with front-month global benchmarks Brent crude and West Texas Intermediate crude rising 0.02% and 0.04%, respectively.
In other world markets, Japan's Nikkei was off 0.40%, Hong Kong's Hang Seng ended trading 1.41% higher, and China's Shanghai Composite climbed 1.84%. Meanwhile, in Europe's early afternoon session, the UK's FTSE 100 was up 0.13%, while Germany's DAX index rose 0.20% and France's CAC nudged 0.01% higher.
On the winning side, shares of Unique Fabricating shares soared 71% in premarket activity, adding to yesterday's 12% gain. Reata Pharmaceuticals shares jumped 51% after it said it agreed to be acquired by Biogen for $172.50 per share in cash. Shares of SIGA Technologies advanced 27% after it said Thursday that the US Department of Health and Human Services exercised procurement. Greenbrook TMS shares climbed 27%, adding to Thursday's 90% gain. And shares of Coursera surged 18% after it reported a narrower loss in Q2.
On the losing side, shares of Tonix Pharmaceuticals plummeted 44% during the premarket session after it agreed to the purchase and sale of 7 million shares and warrants to purchase 7 million shares in a public offering. Sleep Number shares tumbled 26% after it reported lower fiscal Q2 earnings and sales Thursday. Shares of Bellerophon Therapeutics shed 16% after losing 2% the previous session.
Femasys shares fell 14% after soaring 131% in the previous session. And shares of Carmell Therapeutics dropped 13% after surging 46% Thursday.
US equity futures were set to open in positive territory Thursday with futures of the technology-heavy Nasdaq Composite outperforming other major benchmarks following strong quarterly earnings from Meta Platforms , while traders digested economic data including a reading on US economic growth.
Dow Jones Industrial Average futures gained 0.4%, S&P 500 futures rose 0.8%, and Nasdaq futures were 1.4% higher.
Oil prices were higher, with front-month global benchmarks North Sea Brent crude up 1.1% and US West Texas Intermediate crude up 1.4%.
US gross domestic product growth, released at 8:30 am ET, accelerated to a 2.4% annualized growth rate in Q2 versus Q1 growth of 2% and Bloomberg-compiled estimates for a smaller 1.8% gain.
Also at 8:30 am ET, data showed a 4.7% increase in new orders for durable goods in June following a 2% build in the preceding month, compared with estimates for a smaller 1.3% gain. The trade in goods deficit unexpectedly narrowed to $87.8 billion in June from $91.9 billion in May, compared with estimates for a $92 billion gap. Meanwhile, new unemployment claims fell to 221,000 in the July 22 week from 228,000 in the prior week, compared with estimates for a rise to 235,000.
At 10 am ET, the Pending Home Sales index is due for release. Analysts are expecting a 0.5% downtick for June following May's 2.7% drop.
In other world markets, Japan's Nikkei closed 0.7% higher, Hong Kong's Hang Seng closed 1.4% higher, and China's Shanghai Composite closed 0.2% lower. Meanwhile, UK's FTSE 100 gained 0.3% and Germany's DAX index rose 1.1% in Europe's early afternoon session.
In equities, shares of Meta Platforms were nearly 10% higher pre-bell after the Facebook parent reported late Wednesday Q2 earnings and revenue that topped analysts' expectations. Carmell Therapeutics shares surged 45% after the company said it has agreed to merge with regenerative medicine company Axolotl Biologics.
On the losing side, eBay shares fell 6% after the company issued Q3 adjusted profit guidance that trailed analysts' projections. Biohaven shares tumbled 26% after the company said the US Food and Drug Administration has decided not to review the company's new drug application for its genetic disorder drug troriluzole. National Vision shares fell 14%, a day after the company said its partnership with Walmart will be ending in 2024.
Carmell Therapeutics shares surged 56% Thursday premarket after the company said it has agreed to merge with regenerative medicine company Axolotl Biologics.
Mallinckrodt shares increased 29%, extending Wednesday's rally.
Osiris Acquisition shares gained 7% following a muted session.
