Commercial Metals to Buy Another Precast Concrete Company for $1.84 Billion

Commercial Metals will buy Foley Products for $1.84 billion, marking its second precast concrete deal in less than a month.

The acquisition will help immediately scale the company's precast platform, providing significant value creation and unlocking further upside from its pending acquisition of Concrete Pipe & Precast, Peter Matt, Commercial Metal's chief executive, said Thursday.

Precast construction components are formed by pouring concrete into reusable molds, which are then cured in a controlled manufacturing environment.

"We will be even better positioned to bring value to our customers through an expansion of Commercial Metal's commercial portfolio into mission-critical precast applications across a highly complementary footprint in the Mid-Atlantic and Southeast," Matt said.

The deal is expected to immediately improve Commercial Metal's earnings and cash flow, he added. By year three, annual run-rate synergies are expected in a range of $25 million to $30 million of earnings before interest, taxes, depreciation and amortization.

Foley, with 18 facilities across nine states, supplies precast concrete and pipe products to the Southeast region, with additional presence in the Central and Western U.S., according to Commercial Metals.
